Quote valid for 30 days. Taxes and Shipping/Delivery are not included unless specifically stated above. Any changes made to the above specifications may result in a price change. Pricing is an estimate only and may change after final review of the actual order, specifications, and/or artwork. 10% over/under will be billed as applicable unless specifically stated above. Quote and timelines are based on our current inventory and production schedules and must be confirmed at time of order. All deposits are non-refundable. This quote and all transactions related to it will be interpreted under and governed by the laws of the State of Maryland and all actions for remedy shall be held in a venue local to the physical address of Strategic Factory in Owings Mills, MD. By receiving a quote from Strategic Factory, you agree to receive marketing communication from us about products, services and exclusive offers. SIGNAGE

Installation is quoted for an ‘in the ground’ install. Please advise 72 hours in advance if installation is to be into concrete or asphalt. Additional charges will apply.

WARNING: Without “framing” around the edge, we cannot guarantee that the edges will not delaminate over time.

Banners & flags should always be considered temporary signage. Due to exposure to unlimited conditions, they cannot be guaranteed against damage or wear.

Some of the products listed above may be produced using exterior-rated digitally printed materials, instead of applied cut vinyl graphics. Vinyl colors will remain listed for reference purposes only.

Lead time is currently approximately 10-15 business days after receipt of a signed estimate and proof (and deposit and permits, when required). Lead time may change depending on the current production load at the time of the order. RUSH CHARGES may apply on orders where a customer has requested a completion date that does not allow for current standard lead times.

Strategic Factory will use the utmost care when mounting customer provided graphics to our substrates. However, due to the inherent difficulty of the mounting process, Strategic Factory cannot be held responsible for loss or damage of prints in the mounting process. It is recommended that extra prints be provided as a safeguard against potential damage that may occur in the mounting process.

Due to the difficulty in manufacturing screen-printed products to exact requirements without sacrificing quality, a shipment of 5% over or under the quantity ordered will constitute a complete order and will be billed accordingly.

The sizing of available raw materials will cause the face of this sign, when installed, to consist of separate panels, and thus will have visible seams where they meet. Due to tolerances inherent in the manufacturing process, and to environmental and mounting surface conditions beyond our control at the time of installation, we cannot guarantee exactly perfect alignment of all graphic elements across a seam. Some minor variances where components butt together should be expected.

Please note that sizes shown are for budgeting purposes only. Actual dimensions may change during the design and review process, which may affect final pricing.

Please note that if sizing changes during the design approval process, prices may have to be adjusted accordingly.

Strategic Factory will handle graphics supplied by the client with utmost care and in accordance with any supplied guidelines. However, we will not be responsible for any defects or inadvertent damage to graphics produced by third party suppliers, and, if completion time frames will be an issue, recommend that the customer supplies us with second copies of graphics in advance. Any graphics which may need to be reproduced or replaced, for any reason, will be at the expense of the customer.

Vehicles

WARNING: Magnetics must be COMPLETELY flat against the vehicle, and the entire magnetic must be in contact with the vehicle or it will not stay on while driving. We also recommend that you periodically remove magnetics from the vehicle, clean the magnetic and the vehicle to prevent rust from forming underneath them. It is also recommended that you change their position once a month; magnetics left on a painted vehicle surface over a long period may prevent the paint underneath from fading at the same rate as on the rest of the vehicle.

WARNING: It is recommended that, after graphics have been applied, washing of the vehicle be done by hand, and to wait at least 2 weeks before doing so the first time. Never use harsh chemicals, or anything abrasive over the graphics. Never use an ice-scraper over areas with graphics.

The vehicle must be clean before graphics can be applied. This price includes a basic “wipe-down” of the vehicle. For vehicle wraps, the surface of the vehicle must be as close to that of a new vehicle as possible. Our wipe-down will not remove any rust, dirt, grime, bugs, tar, etc., which may cause premature failure of the vinyl and will NOT be covered by any warranty. Any necessary additional cleaning required for any type of vehicle graphics will be charged at the rate of $135/hour and may affect the projected completion time.

***ESTIMATED***
The time to remove existing graphics varies from vehicle to vehicle, depending on the type of vinyl used, how long it has been on the vehicle, and environmental conditions over time that may have affected the vinyl and its adhesive. Actual labor hours will be billed at the rate of $135/hr. Following removal, additional detailing/buffing may be required to bring the painted surface closer to “like new” conditions and is not included in this pricing.

All work to be performed at Strategic Factory facility. The vehicle will need to be delivered to Strategic Factory the day of scheduled installation, between 9 and 10 AM and be available for the entire day, up to 5 pm. (Full vehicle wraps or very large vehicles may require more than one day.) It may be dropped off the night before if this is more convenient for you. Please notify us if other scheduling is necessary.

Pricing based on scaled Pro Vehicle Outlines of the make and model given by the customer. A physical survey of the actual vehicle to acquire accurate measurements and to note vehicle condition must occur PRIOR to proofing and production. Variance in sizing and /or detail may result in revisions to overall project costs.

Cost for removal of graphics will be affected by the length of time they have been on the vehicle, as well as environmental conditions during that time. For budgeting purposes, it is safe to assume that removal cost would be approximately half of the installation cost listed above.

Freshly repaired/painted vehicles should wait 4 weeks for the paint to properly cure before applying new graphics. Applying graphics to improperly cured paint may lead to failure of vinyl graphics and undue damage to the painted surface.


Channel Lettering & Building Signage

Direct Mount installation requires full penetration through building fascia to interior. Access to interior of building to push through electric from individual letters to transformers is required. Additional trips, if required, will be on a “time and materials” basis.

Electrical supply of sufficient capacity within 5′ of installation locations to be provided by others. If other than 120V is supplied, additional pricing may be required, and the difference applied to the contract amount. Additional trips, if required, will be on a “time and materials” basis. Strategic Factory installation technicians to provide final connection.

Lead time is currently approximately 4-6 weeks after approval of design.

This sign requires a Sign Permit. Typical overall cost if Strategic Factory acquires the permit is approximately $425. If Strategic Factory is not being contracted to obtain this permit, customer is responsible for its acquisition, and our Sign Permit Application Waiver form must be signed and returned to Strategic Factory prior to commencement of the sign’s construction.

Lead time is currently approximately 2-3 weeks after approval of design.

RUSH CHARGES may apply on orders that are not finalized prior to the specified lead time. An order is considered finalized upon receipt of a signed estimate and proof (and deposit if required).

Artwork Setup: Minimum Fee of $37.50 (includes lifetime storage for any future use) will be charged if customer-supplied artwork is not ready for printing. Additional artwork clean-up, if necessary, will be charged at the rate of $75.00/hour.

Delivery, shipping and/or installation is NOT included in the above listed pricing.

This sign requires a Sign Permit. Typical overall cost if Strategic Factory acquires the permit is approximately $342. If Strategic Factory is not being contracted to obtain this permit, customer is responsible for its acquisition, and our Sign Permit Application Waiver form must be signed and returned to Strategic Factory prior to commencement of the sign’s construction.

Valid credit card number will be required to be kept on file for use for final payment unless other arrangements have been made.

Installation/Removal/Permitting/Electrical

Customer has opted not to hire Strategic Factory for installation services. Strategic Factory cannot be held responsible for damage to signs, property or persons that may result from faulty installation. Any advice offered by Strategic Factory regarding installation shall not be construed as responsibility for client’s adherence or lack thereof to any such advice.

While we will use the utmost care when removing the existing graphics and its adhesive from the wall, it is possible that some portions of the wall or its surface paint could be damaged during this process. Strategic Factory is not responsible for the cost for any necessary repairs to the wall. It is also possible that there may be “ghosting” of the prior graphics, from uncovered wall area color fading at a different rate from the areas that had graphics.

If the wall requires refinishing or repainting after the removal of the existing graphics, it will require AT LEAST a 3-week period for paint to cure before installation of the new graphics can occur. Additional costs may apply for the additional trip(s) required.

*** Separate Electrical Permit is required and is not included in this amount. Please advise if your electrician will be able to include the sign within the scope of the electrical build-out or if we will need to arrange to acquire a separate permit.***

Electrical supply of sufficient capacity within 5′ of installation locations, to be provided by others. Existing wiring must be in compliance with current electrical codes and must be terminated at a junction box. If these requirements have not been provided, or other than 120V is supplied, additional installation amounts may be charged and applied to the contract amount. Additional trips, if required, will be on a “time and materials” basis. Strategic Factory installation technicians to provide final connection.

Installation price shown does NOT include any electrical maintenance of existing cabinet. Repairs or replacement parts, if required, to be billed for on a time and materials basis, at the rate of $135/hr., including travel.

Electrical Sign Warranty – Under normal use and service, parts and labor will be covered should the sign malfunction within the first twelve months from date of installation due to defects in workmanship or materials. During this twelve-month period, Strategic Factory will at its option repair or replace any defective components.

Electronic Message Centers require a PC computer station to operate. A radio transmitter we will install on the building will need to be wired to the computer station. If computer is not located in immediate vicinity of where transmitter must be placed, customer may be required to run cable and make final connection from the location of the PC to the transmitter at their expense.

While we will use the utmost care when removing the graphics from the wall, and while removing the adhesive from the graphics, due to the fragile nature of the graphics it is possible that some portions could be damaged during this process. Strategic Factory assumes no responsibility for the cost for manufacturing replacements for any damaged pieces, should this occur.

Strategic Factory is being contracted to install a sign fabricated by another supplier. Although we will handle and install said sign with the utmost care, we cannot be held responsible for any damage to sign or faulty operation of any sign not originally supplied by Strategic Factory. Client assumes all responsibility for any damage which may occur to persons or property as a result of faulty sign fabrication or wiring. No warranty is expressed or implied regarding this sign. Additional service to sign if required will be billed on a time and materials basis

Installation is NOT included in this pricing. Strategic Factory can only warrant installations performed by our company or our sub-contractors. SF may offer recommendations on installation methods; however, we can assume no responsibility for defects which may result from the installation methods employed by client or third-party installation services regardless of whether or not they follow SF recommendations.

Due to the irregular nature of brick surfaces, any signs, letters or mounting components attached to brick cannot be guaranteed to be perfectly flush, level or even spaced off the brick. Some minor variance is to be expected.

Installation to be billed based on actual on-site hours, at the rate of $135/hr. (1 hour minimum), plus travel at the rate of $135/hr. (1/2 hour minimum).

Standard signage typically requires approval of the landlord. Client is advised to discuss with their landlord and is responsible for obtaining any such approvals if required.

Not Allowed [Enter Sign Type here]s are not allowed in many communities, and it is the responsibility of the purchaser to display accordingly.

PLEASE NOTE: Drywall which has been recently painted requires at least a 3-week period (and preferably 4 weeks) for paint curing time, prior to installation of graphics. If damages to the drywall or the paint surface occur during installation due to there being less than this 4-week period, Strategic Factory assumes no responsibility for the costs for the repair or repainting of the wall, nor for the subsequent removal and reinstallation of graphics.

This sign requires a Sign Permit. Typical overall cost if Strategic Factory (“SF”) acquires the permit is a minimum of $500.00. Final amount will be based on the rate of $135.00 an hour plus documentation costs and actual permit fees. If SF is not being contracted to obtain this permit, customer is responsible for its acquisition, and our Sign Permit Application Waiver form must be signed and returned to SF prior to commencement of the sign’s construction. If SF is required to produce permit documentation only, additional charges may apply.

We will operate with the utmost care when removing signs, however we can make no guarantee that signs or the surfaces they are mounted to will not be damaged by the removal process and may need to be repaired or replaced at client’s expense.

Signs mounted onto existing roof structures may require coordination with the roofer to maintain the warranty. Additional charges incurred by roofing company, or additional trips and materials that we may be required by roofing company to furnish would be the responsibility of the client and are not reflected in the above pricing. If the roof is proposed new construction installation should also be coordinated with the roofing company to ensure the integrity of the roof is maintained.

RUSH CHARGES may apply on orders that are not finalized prior to the specified lead time. An order is considered finalized upon receipt of a signed estimate and proof (and deposit and permits, if required).

Installation price is speculative only and is pending a site survey to verify field conditions. Site surveys are performed once awarded the job. Prior site survey, if required, may incur additional charges which may be applied as a credit towards the final job.

Note Strategic Factory cannot be responsible for possible Vandalism to product or installation.

Please note that weather and outdoor temperatures will affect our ability to install the graphics listed above. Scheduled installations may be delayed due to these factors.

The windows must be clean before graphics can be applied. This price includes a basic “wipe-down” of the glass; any necessary additional cleaning will be charged at the rate of $135/hour.

Artwork

Artwork Requirements
Artwork Requirements: Useable artwork is defined as digital files that can be used immediately, without further conversion or clean-up on our end. Vector art is best when possible. Please convert all fonts and strokes to outlines.

Files Accepted: EPS, AI, PDF, PSD, JPG or TIF. Files need to be of a sufficient resolution for printing purposes or additional art charges may be applicable. PUB and VSD files cannot be used.

Typically, files should be created at full size, at a minimum of 150 dpi. Images copied from web pages are too low of a resolution and are usually not acceptable.

Use of raster effects in Illustrator may inhibit our ability to match spot colors.

To help avoid additional charges, please discuss the details of your project with us before setting up your artwork. Additional design time and/or artwork clean-up, if necessary, will be charged at the rate of $135.00/hour.

Artwork Setup
Artwork Setup: Minimum Fee of $62.50 (includes lifetime storage for any future use) will be charged if customer-supplied artwork is not ready for production. Additional design time and/or artwork clean-up, if necessary, will be charged at the rate of $125.00/hour.

Print-ready art supplied
Pricing is valid for producing the above using print-ready artwork. Additional charges will apply if additional artwork labor is required.

Proof
Price includes initial proof plus up to two revisions. Additional artwork labor, if necessary, will be charged at the rate of $135.00/hour. Inclusion into proofs of logos or other customer-supplied graphics may result in additional charges.

Setup Labor Cost
Artwork Setup Labor Cost will be added if customer-supplied artwork is not ready for printing and requires clean-up or format conversion. This extra work, if necessary, is charged at the rate of $135.00/hour (includes lifetime storage for any future use).


Web Hosting and Maintenance

If hosting with Strategic Factory (SF), client’s website will reside on its own server. Additionally, SF will incorporate an SSL security certificate, meaning client’s site will be accessed via https://www.URL.com when anyone accesses www.URL.com. This is valuable for 2 reasons:

1) Client’s site will be more secure and trusted.

2) Google uses HTTPS as a “ranking” signal, meaning it will become more important for Search Engine Optimization over time.

Client will retain all rights to their website and content. If client chooses to leave SF hosting in the future, client will be given licenses to any plugins running on their site that were already purchased on their behalf, and client will be responsible for updating and maintaining them and paying any yearly license fees beyond the existing license.

Listed below is more information regarding SF policies regarding updates, support, security/backups, third party services and transfer of ownership.

  • Paid Themes. Updates will be performed on a quarterly basis as long as the theme is supported by the original vendor. This also assumes that the theme has the required licensing required to perform updates.
  • Custom Themes. Updates will be performed as needed at the current hourly rate, as needed.
  • Updates will be performed on a quarterly basis as long as the plugin(s) is supported by the original vendor. This also assumes that the plugin(s) have the required licensing required to perform updates.
  • Extensive Updates. In the event that a theme or plugin update requires major revisions to code, these updates can be rolled-back then an estimate will be provided to make the necessary changes at the current hourly rate.

  • General Support. SF will provide support as needed at our current hourly rate. This support includes minor content edits, changing plugin settings and CSS adjustments.
  • Extended Support. SF will provide quotes for work that exceed a general support request. This includes but not limited to, updating custom code, graphic design, PSD to WordPress, building out new pages or sections, setting up a new domain, website or subdomain.
  • General support requests are answered within 2-3 business days. Critical tickets (server related and/or website down) are considered highest priority and are answered as quickly as possible.
  • Support tickets can be submitted via email to websupport@strategicfactory.com.

(a) Security. SF will locate all content on secure servers in individual VPSs with limited access and required access authentication. SF will handle all content in accordance with industry best practices and the terms of this agreement.

(b) Back-Ups. If the client requests, SF will restore content for the client using the SF’s data back-ups. SF will maintain a copy of the past 40 backup points of all sites files and the site database.

  • Failure to notify. Failure to notify SF of third-party services used for client website can result in unforeseen outages and even loss of assets and/or content.
  • SF assumes no fault in failure of third-party services due to outages, failure of payment etc.

  • Transfer of domain. Domain(s) will be transferred to SF’s GoDaddy account if billing is being handled on behalf of the client.
  • Transfer of Third-Party Services. Third-Party Services can be transferred to SF to handle billing on behalf of the client via account management services.

Marketing Terms of Agreement

This Advertising Agency Agreement (“Agreement”) is made and effective by and between (“Advertiser”) and Strategic Factory (“Agency”).

Agency is in the business of providing advertising agency services. Advertiser desires to engage Agency to render certain advertising agency services, as set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

Advertiser engages Agency to render, and Agency agrees to render to Advertiser, certain services in connection with Advertiser’s planning, preparing and placing of advertising with pre-approval of the advertiser for certain of Advertiser’s services as follows:

  • Analyze Advertiser’s current and proposed products and services and develop overall strategy and messaging.
  • Create, prepare and submit to Advertiser, for its prior approval, advertising ideas and programs. We will be recommending campaigns that may include:
    • Digital Marketing and management services
    • Social Media management services
    • Email Marketing services
    • Website Development services
    • Creative Development
  • Prepare and submit to Advertiser, for its prior approval, estimates of costs and expenses associated with proposed advertising ideas and programs.
  • Design and prepare, or arrange for the design and preparation of, advertisements and promotional items.
  • Perform such other services as Advertiser may request from time to time, such as, but not limited to Branding, Marketing and Communications services.
  • Audit invoices for space, time, material preparation, and charges.

Agency’s engagement shall relate to the following products and services of Advertiser:

During the term of this Agreement Agency shall be the exclusive advertising agency for Advertiser and the products described in Section 2 above.

Media Compensation: Agency shall receive from the advertiser a retainer for Marketing and Consulting and/or Design Services. The cost of such retainer will be charged to Advertiser on a monthly reoccurring basis, as outlined in scope of work. Additional hours will be billable at our standard hourly rates.

Production Compensation – Agency shall record hours for development and production of online, social, radio, print, direct mail and other media. Any hours above and beyond those stated above will be billed at our hourly rate. Agency shall prepare a production estimate and timetable for client approval whenever projects outside the normal scope of work are discussed.

Other Compensation – Agency will bill outside charges for shipping, postage, out-of-market travel expenses and other out of pocket expenses of Agency personnel without any commission or mark-up, when possible and reasonable, all out-of-market travel expenses and other out of pocket expenses of the Agency shall only be billed to Advertiser when such expense has been approved in writing prior to being incurred.  Advertiser shall not be obligated to reimburse Agency for any in-market travel or other unrelated expenses incurred in the performance of services pursuant to this Agreement unless expressly agreed by Advertiser in advance.

  • Advertiser shall pay for all Media and Production within 10 days of receiving invoice. Certain in-advance charges, such as Online Advertising will require payment in advance.
  • Charges for outside production materials and services shall be included in regular Agency monthly invoices.
  • Invoices shall be submitted in an itemized format.
  • Rate or billing adjustments shall be credited or charged to Advertiser on the next following regular invoice date or as soon as otherwise practical.
  • Agency shall pay approved media within 10-days of receipt of payment from Advertiser.
  • Advertiser agrees to complete and execute Agency’s standard credit application.

Agency agrees that, following reasonable prior notice, any and all contracts, agreements, correspondence, books, accounts and other information relating to Advertiser’s business or this Agreement shall be available for inspection by Advertiser and Advertiser’s outside accountants, at Advertiser’s expense.

Agency shall insure, to the fullest extent possible under law, that Advertiser shall own any and all right, title and interest in and to, including copyrights, trade secret, patent and other intellectual property rights, with respect to any copy, photograph, advertisement, music, lyrics, or other work or thing (including logo design) created by Agency or at Agency’s direction for Advertiser pursuant to this Agreement and utilized by Advertiser.

Upon termination, Advertiser agrees that any advertising, merchandising, package, plan or idea prepared by Agency and submitted to Advertiser (whether submitted separately or in conjunction with or as a part of other material) which Advertiser has elected not to utilize, shall remain the property of Agency, unless Advertiser has paid Agency for its services in preparing such item. Advertiser agrees to return to Agency any copy, artwork, plates or other physical embodiment of such creative work relating to any such idea or plan which may be in Advertiser’s possession at termination or expiration of this Agreement.

Strategic Factory may use work created for Advertiser to promote Strategic Factory without written consent by Advertiser.

Agency shall indemnify and hold Advertiser harmless with respect to any claims, loss, suit, liability or judgment suffered by Advertiser, including reasonable attorney’s fees and costs, based upon or related to any item prepared by Agency or at Agency’s direction, including, but not limited to, any claim of libel, slander, piracy, plagiarism, invasion of privacy, or infringement of copyright or other intellectual property interest, except where any such claim arises out of material supplied by Advertiser and incorporated into any materials or advertisement prepared by Agency.

Advertiser agrees to indemnify and hold Agency harmless with respect to any claims, loss, liability, damage or judgment suffered by Agency, including reasonable attorney’s fees and court costs, which results from the use by Agency of any material furnished by Advertiser or where material created by Agency or at the direction of Agency subject to the indemnification in subsection 2 above is materially changed by Advertiser. Information or data obtained by Agency from Advertiser to substantiate claims made in advertising shall be deemed to be “material furnished by Advertiser to Agency”.

In the event of any proceeding, litigation or suit against Advertiser by any regulatory agency or in the event of any court action or other proceeding challenging any advertising prepared by Agency, Agency shall assist in the preparation of the defense of such action or proceeding and cooperate with Advertiser and Advertiser’s attorneys.

This Agreement shall commence and shall be in force until cancellation.  The contract may be canceled by either party with 30 days’ notice at any time.  Notice shall be in writing to the addresses listed below. The rights, duties and obligations of the parties shall continue in full force during or following the period of the termination notice until termination, including the ordering and billing of advertising in media whose closing dates follow then such period.

Upon termination of the Agreement, Agency shall transfer, assign and make available to Advertiser all property and materials in Agency’s possession or subject to Agency’s control that are the property of Advertiser, subject to payment in full of amounts due pursuant to this Agreement.

Upon termination, Agency agrees to provide reasonable cooperation in arranging for the transfer or approval of third party’s interest in all contracts, agreements and other arrangements with advertising media, suppliers,
talent and others not then utilized, and all rights and claims thereto and therein, following appropriate release from the obligations therein.

In the event of any default of any material obligation by or owed by a party pursuant to this Agreement, then the other party may provide written notice of such default and if such default is not cured within ten (10) days of the written notice, then the non-defaulting party may terminate this Agreement, with said termination effective the day in which the non-defaulting party provides written notice to the other party of the termination.  In the case of a non-cured default, the rights, duties and obligations of the parties under this Agreement shall cease immediately after written notice of termination delivered to the defaulting party.

Any notice required by this Agreement, or given in connection with it, shall be in writing and shall be given to the appropriate party by personal delivery or by certified mail, postage prepaid, or recognized overnight delivery services.

Headings used in this Agreement are provided for convenience only and shall not be used to construe meaning or intent.

This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only by a further writing that is duly executed by both parties.

Any elements of this agreement that are not found to be applicable shall not impact the entire document or other elements of the agreement, which shall survive any stricken elements.

This Agreement shall be construed and enforced in accordance with the laws of the state of State of Maryland. Any disputes that arise with regard to this agreement shall be settled by arbitration in the state of Maryland or the most appropriate local jurisdiction.
